1. Acceptance of Terms & Authority Representation
By accessing, registering, or deploying a school tenant on PrinciDesk, you (“Customer”, “Institution”, or “User”) agree to be legally bound by these Terms of Service, our Privacy Policy, and the statutory Data Processing Addendum (DPA). If you are registering on behalf of an educational institution, school board, society, or trust, you explicitly represent and warrant that you possess full legal authority and board resolution to bind that entity to these Terms.
Under the Digital Personal Data Protection Act, 2023 (DPDP Act 2023) and applicable children's data privacy regulations, the subscribing institution represents and warrants that it has established statutory lawful basis or obtained verifiable parental/guardian consent before uploading or processing any personal data of minor students on the platform. The institution agrees to defend and indemnify PrinciDesk against any statutory claims arising from failure to obtain such consents.
2. Subscription Plans & Quotas
PrinciDesk offers tiered plans (Starter, Professional, and Enterprise). Each plan includes defined maximum student counts, faculty seat allowances, and storage limits:
- Quota Enforcement: Enrolling students beyond your active plan quota requires upgrading to the appropriate tier.
- Billing & Renewals: Subscriptions renew automatically on a monthly or annual billing cycle unless cancelled prior to the renewal date.
- Taxes & Invoicing: Invoices are generated electronically and include applicable GST/VAT compliant line items.
3. User Accounts & Security Responsibilities
Each subscribing school administrator is responsible for provisioning authorized credentials to staff, teachers, students, and parents. Institutions must maintain reasonable password complexity standards and promptly revoke access for departed faculty or unenrolled students.
4. Acceptable Use Policy
Users agree not to:
- Upload malicious code, viruses, or attempt unauthorized penetration testing against multi-tenant infrastructure.
- Attempt to bypass tenant boundaries or access records belonging to another educational institution.
- Use broadcast messaging or notification channels for non-educational spam or commercial solicitation.
5. Service Level Agreement (SLA) & Maintenance
PrinciDesk targets a 99.9% monthly platform availability. Scheduled maintenance windows with advance notification will occur outside peak school operating hours (typically weekends or late evenings). Emergency security patches may be deployed as needed.
6. Governing Law & Dispute Resolution
These terms are governed by the laws applicable to commercial cloud SaaS agreements. Inquiries regarding enterprise master services agreements (MSA) may be directed to legal@princidesk.in.
